Terminology note: In these documents, a grower and a farmer refer to the same wool-industry role: a person or business raising sheep for wool production.

WoolTech Beta and Early Access Terms

1. About These Beta and Early Access Terms

1.1 These Beta and Early Access Terms apply when Wool Technology PTY LTD (ACN 679 334 331, ABN 23 679 334 331) trading as Wool.Tech, WoolTech and wool.tech makes any MVP, pilot, invitation-only, beta, trial, test, preview, early access or pre-release feature, product, service, workflow, marketplace function, payment function, integration, tool or interface available through the Platform or Services.

1.2 These Beta and Early Access Terms form part of, and should be read together with, the WoolTech Terms of Service and any other WoolTech policies or terms that apply to your use of the Platform or Services. If there is any inconsistency, the Terms of Service will apply unless WoolTech expressly states otherwise in writing for a specific beta or early access feature.

1.3 These Beta and Early Access Terms are intended to explain additional conditions and risks that apply to beta and early access use. They do not replace any rights or obligations that apply under the Terms of Service, WoolTech privacy documentation, payment or marketplace terms, or other applicable WoolTech policies.

2. Key Definitions

2.1 In these Beta and Early Access Terms, the following words have the meanings used in the WoolTech Terms of Service unless the context requires otherwise:

(a) WoolTech means Wool Technology PTY LTD (ACN 679 334 331, ABN 23 679 334 331) trading as Wool.Tech, WoolTech and wool.tech.

(b) Platform means WoolTech’s websites, including wool.tech and marketplace.wool.tech, and any related applications, portals, tools, account areas, systems, software, mobile or web interfaces and digital services made available by WoolTech.

(c) Services means the services, features and functionality made available by WoolTech through or in connection with the Platform, including account, job posting, quote, crew management, work reporting, records, notifications, payment or marketplace features where enabled, and related support or administration services.

(d) farmer means a user who uses the Platform or Services to post, manage or participate in shearing jobs or related wool-industry work.

(e) contractor means a user who uses the Platform or Services to provide, organise, quote for, manage or participate in shearing jobs or related wool-industry work.

(f) worker means a user who uses the Platform or Services to perform, record, report or participate in shearing jobs or related wool-industry work.

(g) job means a shearing job or related wool-industry work opportunity, engagement, booking, task or work arrangement managed or recorded through the Platform or Services.

(h) quote means pricing, availability, proposal or offer information submitted, received or managed through the Platform or Services in relation to a job.

(i) work report means information, records, times, quantities, attendance, completion details, performance details, job notes, evidence or related data submitted, generated or managed through the Platform or Services in relation to a job.

2.2 In these Beta and Early Access Terms, beta feature means any MVP, pilot, invitation-only, beta, trial, test, preview, early access or pre-release feature, product, service, workflow, marketplace function, payment function, integration, tool or interface made available by WoolTech before or outside general release.

3. Eligibility and Access

3.1 WoolTech may make beta features available to selected farmers, contractors, workers or other users at WoolTech’s discretion.

3.2 Access to a beta feature may be invitation-only, limited by user type, limited by location, limited by job type, limited by volume, limited by time period, or subject to additional instructions provided by WoolTech.

3.3 WoolTech may accept, decline, suspend, limit or remove access to beta features at any time, including where WoolTech considers that continued access may create operational, security, privacy, legal, commercial or user experience risks.

3.4 You must not share beta access, invite codes, restricted links, credentials, unpublished feature details or non-public instructions with another person unless WoolTech permits this.

4. Nature of Beta and Early Access Features

4.1 Beta features are provided for testing, learning, validation, feedback, pilot use and staged improvement.

4.2 Beta features may be incomplete, experimental, unavailable, inaccurate, delayed, unstable, discontinued, changed, reset, withdrawn or replaced.

4.3 WoolTech may change the design, functionality, workflow, eligibility rules, data fields, records, pricing treatment, payment flow, marketplace flow, notifications, reporting outputs or integrations for a beta feature at any time.

4.4 WoolTech does not guarantee that any beta feature will become part of the generally available Platform or Services, or that any generally released version will operate in the same way as the beta feature.

5. Relationship with the Terms of Service

5.1 Your use of beta features remains subject to the WoolTech Terms of Service, including provisions dealing with accounts, acceptable use, jobs, quotes, work reports, payments, marketplace functions, records, user content, liability, suspension, termination and dispute handling.

5.2 You must continue to comply with all responsibilities that apply to your role as a farmer, contractor or worker when using beta features.

5.3 Any job, quote, work report, payment, marketplace activity, notification, record or other activity created, submitted or managed through a beta feature remains subject to the Terms of Service and applicable WoolTech policies.

5.4 Beta features do not change the legal, commercial, employment, contractor, tax, work health and safety, industrial relations, insurance or compliance responsibilities that may apply between farmers, contractors, workers and other parties.

6. Availability, Support and Reliability

6.1 Beta features may have lower availability, performance, reliability, support response times and service continuity than generally released features.

6.2 WoolTech may pause, restrict, disable, roll back, archive or remove beta features for maintenance, testing, security, privacy, legal, operational or commercial reasons.

6.3 WoolTech may provide limited support for beta features at [email protected] or through the support/contact channels made available on the Platform or Services, but is not required to provide the same level of support as for generally released features unless WoolTech expressly states otherwise.

6.4 You should expect that beta features may contain errors, defects, incomplete records, missing notifications, inconsistent reports or other limitations.

7. No Reliance for Critical Operations Without Backup

7.1 Beta features are not a substitute for your own business, operational, payment, compliance, employment, safety, payroll, tax, industrial relations, insurance, regulatory, legal or professional processes. You must not rely solely on beta features for those purposes and should maintain appropriate checks, backup processes and independent records.

7.2 Farmers, contractors and workers should keep independent records where appropriate, including for job arrangements, quotes, attendance, work performed, work reports, payments, safety matters, compliance matters and communications.

7.3 You are responsible for checking the accuracy and completeness of any job, quote, work report, notification, payment information, marketplace information or record generated, stored or displayed through a beta feature before relying on it.

8. User Data, Records and Content

8.1 When you use beta features, WoolTech may collect, use, store, process, analyse and display information submitted through or generated by those beta features in accordance with the Terms of Service, WoolTech privacy documentation and applicable laws.

8.2 Information associated with beta features may include account information, job information, quote information, crew management information, work reports, records, notifications, payment or marketplace information, usage logs, device information, technical diagnostics, support communications and feedback.

8.3 WoolTech may use data from beta features to operate, test, troubleshoot, secure, measure, improve, develop and validate the Platform and Services.

8.4 Beta feature data may be corrected, migrated, reformatted, deleted, archived, exported, separated from beta workflows or transitioned into generally released features as WoolTech develops the Platform and Services.

8.5 WoolTech will handle personal information in accordance with its applicable privacy documentation and legal obligations. You should not submit unnecessary personal information, sensitive information or confidential third-party information into beta features unless it is required for the intended use and you are authorised to do so.

9. Feedback

9.1 WoolTech may ask you to provide feedback about beta features, including comments, suggestions, problems, defects, feature requests, workflow issues, user experience observations and industry use cases.

9.2 You may provide feedback voluntarily at [email protected] or through the support/contact channels made available on the Platform or Services, interviews, surveys, testing sessions, pilot reviews or other feedback processes made available by WoolTech.

9.3 Unless WoolTech agrees otherwise in writing, WoolTech may use feedback without restriction or payment to you for the purpose of improving, developing, marketing, operating and commercialising the Platform, Services and related products.

9.4 You must not include confidential information of another person, personal information that is not necessary, or information that you are not authorised to share when providing feedback.

10. Confidential Beta Information

10.1 Some beta features, materials, screenshots, communications, documentation, pricing information, roadmap information, workflows or technical information may be marked, described or reasonably understood as confidential or non-public.

10.2 Where WoolTech identifies beta information as confidential or non-public, you must keep that information confidential and must not disclose, publish, share, copy, demonstrate or make it available to any other person without WoolTech’s permission.

10.3 Confidential beta information does not include information that is already public through no breach by you, was lawfully known to you before WoolTech disclosed it, or is independently developed by you without using WoolTech’s confidential beta information.

10.4 These confidentiality obligations are in addition to any confidentiality obligations in the Terms of Service, a separate agreement or applicable law.

11. Acceptable Use and Testing Conduct

11.1 You must use beta features only for their intended purpose and in accordance with the Terms of Service, these Beta and Early Access Terms, WoolTech instructions and applicable laws.

11.2 You must not misuse beta features, interfere with testing, attempt to bypass access controls, scrape or extract data, reverse engineer restricted functions, introduce malicious code, overload systems, misrepresent job or work information, or use beta features in a way that may harm WoolTech, users or the Platform.

11.3 You must promptly notify WoolTech at [email protected] or through the support/contact channels made available on the Platform or Services if you become aware of a security issue, privacy issue, incorrect record, payment issue, marketplace issue, serious defect or other problem that could affect WoolTech, farmers, contractors, workers or other users.

12. Payments, Marketplace Features and Financial Information

12.1 Some beta features may involve payment, quoting, invoicing, marketplace, pricing or transaction-related workflows. These features may be incomplete, limited, tested with selected users, or subject to additional terms.

12.2 You must carefully review any quote, job amount, payment information, fee information, payout information, invoice information or marketplace information before acting on it.

12.3 WoolTech may delay, disable, correct, reconcile or withdraw payment or marketplace beta features where necessary for testing, security, compliance, fraud prevention, operational integrity or legal reasons.

12.4 Nothing in these Beta and Early Access Terms changes any separate payment obligations, tax obligations, superannuation obligations, employment obligations, contractor obligations, industrial relations obligations or other legal responsibilities that apply between farmers, contractors, workers and other parties.

13. Changes, Withdrawal and Transition to General Release

13.1 WoolTech may change, suspend, discontinue or withdraw any beta feature at any time.

13.2 WoolTech may transition a beta feature to general release, keep it in beta, merge it with another feature, replace it, limit it to selected users, or decide not to proceed with it.

13.3 If a beta feature transitions to general release, WoolTech may require users to accept updated Terms of Service, product terms, payment terms, marketplace terms, privacy documentation or other policies before continuing to use the feature.

13.4 WoolTech may migrate, retain, archive or remove information associated with beta features as part of any transition, subject to the Terms of Service, WoolTech privacy documentation and applicable legal requirements.

14. Disclaimers and Liability

14.1 To the extent permitted by law, beta features are made available on an as is and as available basis for testing, pilot, validation and early access purposes.

14.2 WoolTech does not promise that beta features will be uninterrupted, error-free, accurate, complete, secure, suitable for your particular purpose, or available on an ongoing basis.

14.3 To the extent permitted by law, WoolTech is not responsible for loss arising from your reliance on beta features without appropriate checks, backups or independent records.

14.4 Nothing in these Beta and Early Access Terms excludes, restricts or modifies any consumer guarantee, statutory right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.

15. Suspension or Removal from Beta Access

15.1 WoolTech may suspend, limit or remove your access to beta features if WoolTech considers that you have breached these Beta and Early Access Terms, breached the Terms of Service, created risk for WoolTech or users, misused the Platform, compromised testing integrity, or otherwise acted inconsistently with the purpose of beta access.

15.2 Suspension or removal from beta access does not necessarily affect your access to generally released features of the Platform or Services, unless WoolTech also takes action under the Terms of Service or applicable policies.

16. Contact and Questions

16.1 If you have questions about beta features, early access participation, records, data, feedback, confidentiality or transition to general release, you should contact WoolTech at [email protected] or through the support/contact channels made available on the Platform or Services.

16.2 If you are unsure whether a beta feature is suitable for a particular job, quote, work report, payment, marketplace activity or operational process, you should use an appropriate backup process and seek clarification at [email protected] or through the support/contact channels made available on the Platform or Services before relying on the feature.
