Terminology note: In these documents, a grower and a farmer refer to the same wool-industry role: a person or business raising sheep for wool production.

WoolTech Job and Quote Terms

1. About These Job and Quote Terms

1.1 These Job and Quote Terms explain how job posts, quotes, job acceptance, changes, cancellations, work reports and related job arrangements operate on WoolTech.

1.2 These Job and Quote Terms apply when a farmer, contractor or worker uses the Platform or Services to create, view, respond to, manage or record a job or quote.

1.3 These Job and Quote Terms form part of, and should be read together with, the WoolTech Terms of Service and any other WoolTech policies or terms that apply to the relevant Services, including any payment, refund and returns, marketplace, privacy, safety or acceptable use terms published or made available by WoolTech.

1.4 If there is any inconsistency between these Job and Quote Terms and the WoolTech Terms of Service, the WoolTech Terms of Service apply to the extent of the inconsistency, unless the WoolTech Terms of Service expressly state otherwise.

2. Definitions

2.1 WoolTech means Wool Technology PTY LTD (ACN 679 334 331, ABN 23 679 334 331) trading as Wool.Tech, WoolTech and wool.tech.

2.2 Platform means WoolTech’s websites, including wool.tech and marketplace.wool.tech, and any related applications, portals, tools, account areas, systems, software, mobile or web interfaces and digital services made available by WoolTech.

2.3 Services means the services, features and functionality made available by WoolTech through or in connection with the Platform, including account, job posting, quote, crew management, work reporting, records, notifications, payment or marketplace features where enabled, and related support or administration services.

2.4 Farmer means a user who posts, manages or arranges a shearing or wool-industry job, or who seeks quotes or services from contractors or workers.

2.5 Contractor means a user who offers to provide shearing, wool harvesting, wool handling, shed staff, crew, labour, management or related services for a job, including by submitting or managing a quote.

2.6 Worker means a user who may be allocated to, invited to, assigned to, record work for, or otherwise participate in a job.

2.7 Job means a shearing or wool-industry work opportunity, engagement, project, shift, run, shed, station or related work arrangement posted, managed, quoted on, accepted, performed, reported on or recorded through the Platform or Services.

2.8 Quote means a contractor’s response, offer, estimate, proposal or pricing submission for a job, including any rates, assumptions, conditions, availability, crew details or other information included with it.

2.9 Work report means a record, timesheet, tally, attendance entry, completion record, activity update, performance record, payment-related record or other work information created, submitted, approved or managed through the Platform or Services in connection with a job.

3. WoolTech’s Role

3.1 WoolTech provides technology tools that help farmers, contractors and workers create, manage, communicate about, report on and keep records for jobs and quotes.

3.2 Unless WoolTech expressly agrees otherwise in writing, WoolTech is not a party to any job contract, quote, employment arrangement, independent contractor arrangement, labour hire arrangement, payment arrangement or other user-to-user agreement between a farmer, contractor, worker or any other person.

3.3 WoolTech does not guarantee that any job will be posted, quoted on, accepted, performed, completed, paid, available, safe, suitable, profitable or successful.

3.4 WoolTech does not guarantee the availability, suitability, skill, licensing, insurance, compliance, conduct, performance or reliability of any farmer, contractor, worker, crew member or other user.

3.5 WoolTech may provide records, workflow tools, notifications, payment or marketplace features, but this does not make WoolTech an employer, principal, agent, partner, labour hire provider, contractor, subcontractor, broker or guarantor for any user, unless the WoolTech Terms of Service or a separate written agreement expressly says otherwise.

4. Farmer Job Posts

4.1 A farmer may use the Platform or Services to create a job post requesting quotes, availability, crew, workers or services for a shearing or wool-industry job.

4.2 The farmer is responsible for ensuring that the job post is accurate, complete, lawful and not misleading.

4.3 A job post should include relevant details for the work, which may include:

a. property or job location details;

b. proposed dates, start times, estimated duration and expected work pattern;

c. sheep numbers, wool type, flock or mob details and any relevant condition information;

d. required services, roles, crew size, skills, experience or equipment;

e. shed, plant, amenities, accommodation, meals, water, power, communications and access information;

f. rates, pricing approach, payment expectations or quote requirements;

g. health, safety, animal welfare and biosecurity information;

h. insurance, licence, qualification, induction or compliance requirements;

i. cancellation, postponement, weather, access or contingency information; and

j. any other information reasonably needed for a contractor or worker to assess the job.

4.4 The farmer must promptly update, correct or withdraw a job post if the information changes or becomes inaccurate.

4.5 A job post is not a guarantee that a job will proceed, that any quote will be accepted, or that any contractor or worker will be engaged.

4.6 Farmers should not include exact farm addresses, gate codes, access instructions or other private job details in public marketplace job information unless the Platform expressly allows or requires it for the relevant workflow. Private job details should be shared only with accepted contractors, authorised crew members or other authorised users who reasonably need that information for the agreed job.

5. Contractor Quotes

5.1 A contractor may use the Platform or Services to submit, amend, withdraw or manage a quote for a job.

5.2 The contractor is responsible for ensuring that each quote is accurate, complete, lawful and not misleading.

5.3 A quote should clearly state the contractor’s offer and any assumptions or conditions, which may include:

a. rates, fees, charges, minimum charges, travel charges, extras, GST treatment and payment timing;

b. crew availability, proposed crew size, roles, experience and equipment;

c. dates, duration, start times, completion expectations and scheduling assumptions;

d. conditions that must be met before the quote applies;

e. exclusions, limitations or additional charges;

f. insurance, licence, qualification or compliance information;

g. any requirement for facilities, access, accommodation, meals, amenities, animal handling arrangements or shed preparation; and

h. any cancellation, postponement, weather, access or variation terms proposed by the contractor.

5.4 A quote may be an estimate, proposal or offer depending on its wording, the WoolTech workflow used and the surrounding communications between the users.

5.5 The contractor must promptly update or withdraw a quote if availability, pricing, crew capacity or other material information changes.

5.6 Submitting a quote does not guarantee that the quote will be accepted, that a job will proceed, or that the contractor or any worker will be engaged.

6. Acceptance of Quotes and Job Arrangements

6.1 A farmer may accept a quote through the Platform or Services.

6.2 Users are responsible for understanding when a binding job contract or other arrangement is formed between them. This may depend on the quote terms, communications, conduct and applicable law.

6.3 Unless WoolTech expressly agrees otherwise in writing, any accepted quote or job arrangement is a legal and commercial arrangement between the relevant farmer, contractor and, where applicable, worker or other participants, even where it is created, accepted, managed or recorded through the Platform.

6.4 Users should ensure that any accepted quote or job arrangement clearly covers:

a. scope of work;

b. dates, timing and location;

c. rates, charges, GST and payment timing;

d. crew, workers, roles and responsibilities;

e. equipment, facilities, access and site preparation;

f. safety, animal welfare and biosecurity requirements;

g. reporting, approvals and records;

h. changes, delays, cancellation and postponement; and

i. any other commercial or legal terms required for the job.

6.5 WoolTech may record the status of a job, quote or acceptance in the Platform, but Platform status does not replace the users’ responsibility to confirm the legal and commercial terms of their own arrangement.

7. Changes and Variations

7.1 Job details may change before or during a job, including dates, sheep numbers, crew requirements, facilities, access, rates, timing or scope of work.

7.2 Users are responsible for promptly communicating proposed changes to each other and for agreeing any changes to the job, quote or accepted arrangement.

7.3 A change may affect pricing, availability, crew requirements, timing, safety arrangements, work reports, payment records and other obligations.

7.4 WoolTech may provide tools to record, notify, approve or manage changes, but WoolTech is not responsible for deciding whether a change is valid, reasonable, payable or enforceable between users.

8. Cancellations, Postponements and Delays

8.1 Jobs may be cancelled, postponed or delayed for reasons including weather, animal condition, access issues, illness, crew availability, shed readiness, safety concerns, biosecurity issues, payment concerns or other operational matters.

8.2 Users are responsible for agreeing and complying with any cancellation, postponement or delay terms that apply between them.

8.3 A cancellation, postponement or delay may affect fees, charges, minimum payments, travel costs, accommodation, worker arrangements, work reports, payment records and other obligations.

8.4 WoolTech may provide tools to communicate or record cancellations, postponements or delays, but WoolTech does not determine whether any user is entitled to compensation, payment, damages, costs or other remedies unless WoolTech has expressly agreed to a separate role in writing.

9. User Responsibilities

9.1 Each user is responsible for their own decisions, communications, commitments, compliance and conduct when using the Platform or Services.

9.2 Farmers are responsible for the job information they provide, the condition and suitability of the worksite, access arrangements, facilities, animals, shed preparation, safety information, biosecurity information and any obligations they owe to contractors, workers, visitors, regulators or other persons.

9.3 Contractors are responsible for the quotes they submit, the services they agree to provide, the crew or workers they arrange, their pricing, availability, equipment, supervision, compliance and any obligations they owe to farmers, workers, regulators or other persons.

9.4 Workers are responsible for the information they provide, their availability, work records, conduct, compliance with lawful and reasonable site requirements, and any obligations they owe to farmers, contractors, employers, principals, regulators or other persons.

9.5 Users must comply with applicable laws, regulations, awards, workplace obligations, work health and safety requirements, animal welfare requirements, biosecurity requirements, tax obligations, superannuation obligations, insurance requirements and any contractual obligations that apply to them.

10. Job Details, Facilities and Access

10.1 Accurate job details are important for quoting, scheduling, safety, work performance, reporting and payment records.

10.2 Farmers should provide practical information about the site and facilities, including access roads, directions, parking, loading areas, shed layout, plant and equipment, power, lighting, water, toilets, showers, accommodation, meals, phone coverage and emergency access where relevant.

10.3 Contractors and workers should review job details before accepting or attending a job and should raise questions or concerns promptly.

10.4 Users should not assume that facilities, access, equipment, accommodation, meals or other support will be available unless these have been confirmed as part of the job arrangement.

11. Safety, Animal Welfare and Biosecurity Information

11.1 Safety, animal welfare and biosecurity are shared responsibilities and must be addressed before and during a job.

11.2 Farmers should provide relevant safety, animal welfare and biosecurity information for the property, shed, animals, equipment and local conditions.

11.3 Contractors should ensure that their crew and workers receive appropriate information, supervision, training, inductions and instructions for the work they perform.

11.4 Workers should follow applicable safety, animal welfare and biosecurity requirements and promptly report hazards, incidents, injuries, illness, unsafe conditions or biosecurity concerns to the appropriate person.

11.5 Users should not use the Platform or Services as a substitute for proper safety systems, inductions, risk assessments, animal welfare processes, biosecurity procedures, insurance or professional advice.

11.6 WoolTech may help users record or share safety, animal welfare or biosecurity information, but WoolTech does not inspect worksites, verify compliance or control how a job is performed unless WoolTech expressly agrees otherwise in writing.

12. Quotes, Jobs and User Arrangements

12.1 Users may communicate, request quotes, provide quotes, accept jobs and make job-related arrangements through the Platform.

12.2 Unless WoolTech expressly states otherwise, any quote, job, service arrangement, payment term, change, cancellation or approval is an arrangement between the relevant users, and users are responsible for understanding and keeping records of those arrangements.

12.3 WoolTech may provide records, messaging tools, quote tools, job tools or other Platform features, but users should not rely on WoolTech as the only record of their legal or commercial arrangements.

12.4 Users must not use the Platform or Services to mislead other users, avoid agreed obligations, interfere with another user’s arrangements, bypass WoolTech fees or processes, or engage in unlawful, unsafe, unfair or abusive conduct.

12.5 Users must not encourage or require another user to move communications, payments, quotes, bookings or job arrangements outside the Platform where doing so is intended to avoid WoolTech’s fees, protections, records, processes or policies.

13. No Guarantee of Work, Availability or Outcome

13.1 WoolTech does not guarantee that:

a. a farmer will receive quotes;

b. a contractor will receive work;

c. a worker will be offered work or shifts;

d. any user will be available at a particular time;

e. any job will start, proceed or finish as planned;

f. any quote will be accepted;

g. any job will meet expected quality, timing, price, production or financial outcomes; or

h. any user will perform, pay or comply with their obligations.

13.2 Users make their own decisions about whether to post, quote, accept, attend, perform, record, approve or pay for a job.

14. Work Reports and Records

14.1 Work reports may be used to record information about work performed, attendance, tallies, timing, completion, variations, approvals, disputes, payment calculations or other job-related matters.

14.2 Users are responsible for ensuring that work reports they create, submit, review or approve are accurate, complete and submitted on time.

14.3 A work report may support payment, invoicing, payroll, compliance, dispute resolution or record keeping, but it does not by itself override the agreed terms between users unless those users have agreed that it will do so.

14.4 Users should promptly raise and resolve any concern about a work report, including incorrect tallies, missing workers, disputed hours, job changes, quality issues, safety incidents or payment-related matters.

14.5 Where the Platform supports a completion or farmer review workflow, any review period shown on the Platform, Payment Terms or job-specific written terms, affects job-record finalisation, payment-release or payment-status steps only to the extent stated in the applicable Platform workflow, Payment Terms or written terms.

14.6 WoolTech may store, display, process or transmit work reports as part of the Services, subject to the WoolTech Terms of Service and applicable policies.

15. Payment and Marketplace Features

15.1 WoolTech may provide payment, invoicing, marketplace, record keeping or payment-related features as part of the Services.

15.2 Payment obligations between farmers, contractors, workers and other users are governed by the applicable job arrangement, accepted quote, payment terms, WoolTech Terms of Service and any specific payment or marketplace terms that apply.

15.3 WoolTech does not guarantee payment by one user to another unless WoolTech has expressly agreed to do so in separate written terms.

15.4 Users are responsible for checking and complying with their own tax, GST, payroll, superannuation, award, employment, contractor, labour hire, invoicing and record keeping obligations.

15.5 Where WoolTech payment or marketplace features are used, users must provide accurate payment information and comply with any additional terms, processes, verification requirements, fees, settlement timing, dispute processes and third-party provider terms that apply.

16. Disputes Between Users

16.1 Users should first try to resolve any job, quote, work report, payment, performance, safety or cancellation dispute by communicating with the other relevant user through the Platform where available, or through other appropriate channels where reasonably necessary.

16.2 WoolTech may, at its discretion and subject to the WoolTech Terms of Service, provide records, Platform information or support processes to assist users, but WoolTech is not required to decide disputes between users unless a specific WoolTech policy or written agreement says otherwise.

16.3 WoolTech may take action under the WoolTech Terms of Service if a dispute or user conduct raises concerns about safety, misuse, fraud, non-payment, unlawful conduct, repeated complaints, platform integrity or harm to other users.

17. Platform Records and Notifications

17.1 The Platform may generate, send or display notifications, status updates, reminders, records, timestamps or workflow steps for jobs, quotes, changes, work reports and payments.

17.2 Users remain responsible for monitoring their accounts, contact channels, job records and communications.

17.3 Notifications may be delayed, missed or unavailable due to technical, user, network or third-party issues. Users should not rely only on notifications for time-critical matters.

17.4 Platform records may help evidence what occurred on the Platform, but users should keep any additional records needed for their own legal, commercial, tax, employment, safety, biosecurity and operational purposes.

18. Compliance with the WoolTech Terms of Service

18.1 Users must use the Platform and Services in accordance with the WoolTech Terms of Service and any other WoolTech policies or terms that apply.

18.2 WoolTech may suspend, restrict or terminate access to job, quote, work report, payment or marketplace features in accordance with the WoolTech Terms of Service.

18.3 These Job and Quote Terms do not limit any rights, responsibilities, disclaimers, limitations of liability, indemnities, account rules, acceptable use requirements, privacy terms or dispute processes set out in the WoolTech Terms of Service.

19.1 Users should contact WoolTech through the support or contact channels made available by WoolTech for questions about Platform features, account access, technical issues or these Job and Quote Terms.

19.2 For legal, tax, employment, workplace safety, insurance, biosecurity, animal welfare or commercial advice about a job, quote or work arrangement, users should seek advice from an appropriately qualified professional.
