WoolTech Payment Terms
1. About These Payment Terms
1.1 These Payment Terms explain how payments, payment records, fees, refunds, payment disputes, chargebacks and related matters may work where payment or marketplace features are enabled on the WoolTech Platform.
1.2 These Payment Terms apply to Wool Technology PTY LTD (ACN 679 334 331, ABN 23 679 334 331) trading as Wool.Tech, WoolTech and wool.tech (WoolTech, we, us or our), and to farmers, contractors, workers and other users who use payment-related features of the Platform or Services.
1.3 These Payment Terms form part of, and should be read together with, the WoolTech Terms of Service, Refund and Returns Policy, Fee Schedule and any other WoolTech policies or notices that apply to your use of the Platform or Services. If there is any inconsistency, the Terms of Service will apply to the extent of the inconsistency, unless WoolTech expressly states otherwise.
2. Definitions
2.1 In these Payment Terms, words and expressions have the meaning given in the WoolTech Terms of Service unless the context requires otherwise.
2.2 WoolTech means Wool Technology PTY LTD (ACN 679 334 331, ABN 23 679 334 331) trading as Wool.Tech, WoolTech and wool.tech.
2.3 Platform means WoolTech’s websites, including wool.tech and marketplace.wool.tech, and any related applications, portals, tools, account areas, systems, software, mobile or web interfaces and digital services made available by WoolTech.
2.4 Services means the services, features and functionality made available by WoolTech through or in connection with the Platform, including account, job posting, quote, crew management, work reporting, records, notifications, payment or marketplace features where enabled, and related support or administration services.
2.5 Farmer means a user who posts, manages, offers or arranges a job, requests a quote, reviews work reports, or otherwise uses the Services in connection with farming or wool-industry work.
2.6 Contractor means a user who offers, quotes for, manages, supplies or arranges wool-industry work or crews through or in connection with the Services.
2.7 Worker means a user who performs or records wool-industry work through or in connection with a job, quote, crew arrangement or work report.
2.8 Job means a shearing, wool handling or related wool-industry work opportunity, arrangement, engagement, shift, task or project posted, managed, quoted for, reported on or recorded through the Platform.
2.9 Quote means a price, rate, estimate, proposal, response or other commercial offer submitted or managed through the Platform in relation to a job.
2.10 Work report means a record, timesheet, tally, attendance record, completion record, job note, claim, approval, verification or other record of work performed, submitted, reviewed or stored through the Platform.
3. When Payment Features Apply
3.1 WoolTech may make payment or marketplace features available for some users, jobs, quotes, work reports or Services. These features may not be available for all users or in all circumstances.
3.2 These Payment Terms apply only where payment features are enabled or used. If a payment feature is not enabled for a job, quote, work report or arrangement, payment between users must be managed outside the Platform unless WoolTech expressly states otherwise.
3.3 WoolTech may enable, disable, vary, suspend or limit payment features at any time, subject to the Terms of Service and applicable law.
3.4 WoolTech may require users to provide information, complete checks, accept additional terms, verify payment methods or satisfy other requirements before using payment features.
4. User-to-User Payments and WoolTech’s Role
4.1 Unless WoolTech expressly agrees otherwise in writing, WoolTech provides technology services only. WoolTech is not a party to the employment, contracting, labour, payroll, tax, superannuation, award, insurance or work arrangement between farmers, contractors, workers or other users.
4.2 Unless WoolTech expressly agrees otherwise in writing, WoolTech does not employ workers, engage contractors on behalf of farmers, provide labour hire services, act as a payroll provider, act as an industrial relations adviser, or assume responsibility for paying wages, superannuation, tax, insurance, allowances, penalties or other employment-related amounts.
4.3 Farmers, contractors, workers and other users are responsible for agreeing the commercial terms of each job, quote and work arrangement, including rates, payment triggers, timing, inclusions, exclusions, taxes, deductions, expenses, cancellations and dispute processes.
4.4 WoolTech may provide tools that help users request, make, record, reconcile or administer payments. Use of those tools does not make WoolTech responsible for the underlying work arrangement or for amounts owed between users, except to the extent expressly required by law or expressly agreed by WoolTech in writing.
5. Prices, Rates and Fees
5.1 Users are responsible for checking all prices, rates, fees, charges, taxes and other amounts displayed or entered before confirming a job, quote, work report, payment or other transaction.
5.2 Where WoolTech charges platform fees, service fees, transaction fees, subscription fees, marketplace fees or other charges, WoolTech will display or otherwise make those fees available before confirmation where required by law or where the relevant feature requires user confirmation.
5.3 Fees may vary depending on the Services used, the type of user, the job, the payment method, the transaction value, the applicable plan, promotional arrangements, taxes, third-party charges or other relevant circumstances.
5.4 Unless stated otherwise, amounts displayed on the Platform may be exclusive or inclusive of taxes depending on the context, user type and applicable feature. Users must review the information shown before confirming a transaction.
5.5 WoolTech may change its fees from time to time in accordance with the Terms of Service and applicable law. Changes will not affect a transaction already confirmed unless the relevant terms, feature or law allows it.
6. Taxes, Superannuation, Awards and Legal Obligations
6.1 Each user is responsible for understanding and meeting their own tax, goods and services tax (GST), pay as you go withholding, superannuation, payroll tax, award, enterprise agreement, minimum entitlement, workers compensation, insurance, visa, work health and safety, labour hire licensing and other legal obligations.
6.2 WoolTech does not provide tax, accounting, employment, payroll, industrial relations, insurance or legal advice. Information shown through the Platform is for operational record-keeping and administration only, unless WoolTech expressly states otherwise.
6.3 Users should obtain their own professional advice where payment, tax, superannuation, award, insurance, employment classification, contractor classification, labour hire or legal obligations are unclear.
6.4 A work report, payment record, quote or job record generated through the Platform may assist with administration, but it does not determine whether a person is an employee, contractor, worker, labour hire worker or other category for legal, tax, insurance or industrial purposes.
7. Payment Records and Work Reports
7.1 WoolTech may allow users to create, upload, submit, approve, reject, amend, export or store payment records, job records, quotes, work reports and related records through the Platform.
7.2 Users are responsible for ensuring that all payment information, job details, quote details, work reports, rates, tallies, hours, attendance, deductions, expenses, bank details and other records they provide are accurate, complete and up to date.
7.3 WoolTech may use Platform records to calculate, display, support or administer payment-related information where payment features are enabled. WoolTech does not guarantee that records are complete, legally sufficient or suitable for a user’s tax, accounting, employment, payroll, award, insurance or compliance needs.
7.4 Users should keep their own copies of important records. Availability of records through the Platform may depend on account status, feature availability, data retention settings, legal requirements and the Terms of Service.
8. Payment Methods and Processing
8.1 Where payment features are enabled, WoolTech may allow users to pay or receive payment through supported payment methods shown on the Platform from time to time. These may include Stripe, Stripe Connect, direct payment, invoice-based payment, bank transfer, BPAY or other supported methods, where made available.
8.2 Payments may be processed by third-party payment service providers or financial institutions, including Stripe or Stripe Connect where those services are enabled. Users may be required to accept third-party terms, complete identity or account checks, and provide accurate payment information.
8.3 WoolTech is not responsible for delays, declines, holds, reversals, fees, errors or losses caused by a user’s bank, card issuer, payment service provider, incorrect payment details, insufficient funds, suspected fraud, compliance checks, sanctions screening, security review or other circumstances outside WoolTech’s reasonable control.
8.4 WoolTech may refuse, delay, cancel, suspend, reverse or investigate a payment where permitted by the Terms of Service, these Payment Terms, applicable law, a payment provider requirement, fraud prevention processes, risk controls, sanctions obligations, chargeback rules or compliance requirements.
9. No Escrow Unless Expressly Stated
9.1 Unless WoolTech expressly states otherwise for a particular feature or transaction, WoolTech does not provide escrow services, trust account services, stakeholder account services, regulated payment facility services, banking services or stored value services.
9.2 If a payment appears in a pending, processing, held, scheduled or similar status, that status is an operational status within the relevant payment or Platform workflow. It does not mean WoolTech is holding funds as escrow or guaranteeing payment, unless WoolTech expressly states otherwise.
10. Refunds and Cancellations
10.1 Refund rights and cancellation outcomes may depend on the Terms of Service, the applicable job or quote terms, the agreement between users, the status of the work, the payment method, payment provider rules and applicable law.
10.2 Unless WoolTech expressly states otherwise, WoolTech is not responsible for refunding amounts paid by one user to another user for work arranged between them. Users must resolve user-to-user refund requests between themselves, subject to any Platform process that applies.
10.3 WoolTech may refund, credit, waive or reverse WoolTech fees where WoolTech chooses to do so, where required by law, or where required by the applicable feature terms. Any discretionary refund, credit, waiver or reversal does not create an obligation to do the same in another case.
10.4 If a job is cancelled, varied, incomplete, disputed or not performed as expected, users remain responsible for determining what amounts are payable under their own arrangement and applicable law.
10.5 Nothing in these terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.
10.6 Any farmer review period, including any current review period described in the Terms of Service or Platform workflow, affects payment release or payment-status steps only to the extent shown in the Platform workflow, these Payment Terms or job-specific written terms.
11. Payment Disputes Between Users
11.1 Users should promptly review jobs, quotes, work reports, invoices, payment records and payment confirmations. If a user believes an amount is incorrect, unauthorised, incomplete, duplicated or disputed, the user should raise the issue through the relevant WoolTech support or contact channels and, where appropriate, directly with the other user.
11.2 WoolTech may provide tools or support to help users identify, communicate about, document or resolve payment disputes. WoolTech is not required to decide the legal merits of a dispute between users unless WoolTech expressly agrees or applicable law requires otherwise.
11.3 WoolTech may request supporting information such as job details, quote records, work reports, messages, approvals, payment confirmations, invoices, receipts or other evidence relevant to a payment dispute.
11.4 WoolTech may limit, suspend or restrict access to payment features while a dispute, suspected misuse, fraud concern, chargeback, failed payment or compliance issue is being investigated.
12. Chargebacks, Reversals and Failed Payments
12.1 If a payment is charged back, reversed, dishonoured, declined, cancelled, recalled or otherwise fails, WoolTech may update Platform records, suspend or reverse related Platform actions, restrict access to payment features, or seek recovery of amounts owed where permitted by law and the Terms of Service.
12.2 Users are responsible for any chargebacks, reversals, failed payments, bank fees, payment provider fees, collection costs or other losses caused by their conduct, payment method, incorrect information, insufficient funds, unauthorised transaction, breach of these Payment Terms or breach of the Terms of Service, except to the extent WoolTech is responsible under applicable law.
12.3 A payment record shown as submitted, pending, processing or confirmed may later be reversed or adjusted if a chargeback, failed payment, payment provider requirement, fraud issue, compliance issue, mistake or legal requirement applies.
13. Invoices, Receipts and Statements
13.1 WoolTech may provide or facilitate invoices, receipts, statements, remittance records or transaction summaries for certain Services or payment features.
13.2 Users are responsible for checking whether any invoice, receipt, statement or transaction summary is accurate and sufficient for their own tax, accounting, payroll, audit, insurance and legal purposes.
13.3 Unless WoolTech expressly states otherwise, a Platform-generated payment record is not a tax invoice, payslip, payroll record, employment record, superannuation statement or legal compliance certificate.
14. Incorrect Payment Details and Unauthorised Use
14.1 Users must keep their account, payment method, bank account, contact and business details accurate and secure.
14.2 WoolTech is not responsible for payments sent to incorrect bank accounts, cards, wallets or payment destinations where the error is caused by incorrect, outdated or unauthorised details provided or maintained by a user, except to the extent required by law.
14.3 Users must promptly notify WoolTech at [email protected] or through the support/contact channels made available on the Platform or Services if they suspect unauthorised account access, unauthorised payment activity, compromised credentials, incorrect payment details or fraud.
15. Set-Off, Deductions and Recovery
15.1 Where permitted by law and the Terms of Service, WoolTech may set off, deduct, withhold, recover, reverse or adjust amounts owed to WoolTech or required to be dealt with because of refunds, chargebacks, failed payments, suspected fraud, user error, compliance obligations, payment provider requirements or other payment-related issues.
15.2 Users must not misuse payment features, avoid fees, make false payment claims, submit inaccurate work reports, manipulate quotes or job records, process sham transactions, use the Platform for illegal payments, or interfere with payment systems.
16. Promotions, Credits and Trials
16.1 WoolTech may offer promotions, discounts, credits, trials or fee waivers from time to time. Additional terms may apply.
16.2 Promotions, discounts, credits, trials and fee waivers may be changed, withdrawn, limited, suspended or cancelled in accordance with their terms, the Terms of Service and applicable law.
16.3 Unless WoolTech states otherwise, credits have no cash value, are not transferable, and may only be used for the Services and within the period specified by WoolTech.
17. Privacy and Payment Information
17.1 WoolTech handles personal information in accordance with its Privacy Policy and the Terms of Service.
17.2 Payment-related information may be collected, used, disclosed, stored or processed by WoolTech and by relevant third-party payment service providers, financial institutions, identity verification providers, fraud prevention services, compliance services and other service providers as needed to provide payment features, manage risk, comply with law and operate the Platform.
17.3 Users should not submit unnecessary sensitive information through payment records, job records, quote notes, work reports or support messages.
18. Changes to These Payment Terms
18.1 WoolTech may update these Payment Terms from time to time in accordance with the Terms of Service and applicable law.
18.2 The version published on or through the Platform will apply from its stated effective date or last updated date, unless WoolTech states otherwise.

19.1 If you have questions about payment features, payment records, fees, refunds, failed payments, chargebacks or payment disputes, please contact WoolTech at [email protected] or through the support/contact channels made available on the Platform or Services.
19.2 For issues involving tax, superannuation, awards, employment status, contractor status, insurance, labour hire, regulatory compliance or legal rights, users should obtain advice from an appropriately qualified professional.
