Terminology note: In these documents, a grower and a farmer refer to the same wool-industry role: a person or business raising sheep for wool production.

WoolTech Terms of Service

Part A — Terms of Service Overview

1. The WoolTech Terms

These Terms of Service form the agreement between you and Wool Technology PTY LTD (ACN 679 334 331, ABN 23 679 334 331) trading as Wool.Tech, WoolTech and wool.tech (WoolTech, we, us or our).

The Terms apply when you access or use:

the WoolTech website at wool.tech;

the WoolTech marketplace/app at marketplace.wool.tech;

WoolTech account, job-posting, quote, crew-management, work-reporting, record, notification, payment-record, payment or marketplace features; and

any related web, mobile, support, beta, early-access or future WoolTech services.

Together, these are the Platform and Services.

By creating an account, clicking to accept, logging in, posting a job, submitting a quote, joining a team, accepting an assigned job, submitting a work report, using any payment feature, or otherwise using the Platform, you agree to these Terms.

If you use the Platform on behalf of a farm, contracting business, company, partnership, trust, sole trader business or other organisation, you represent that you have authority to bind that organisation.

2. Documents Forming the WoolTech Terms

The WoolTech Terms include this document and any policies, schedules, feature terms or notices referenced in it, including where applicable:

Privacy Policy;

Cookie Policy;

Acceptable Use Policy;

Payment Terms;

Refund and Returns Policy;

Job and Quote Terms;

Worker Report Terms;

Marketplace Conduct Rules;

any beta, early-access or pilot terms;

any fee schedule displayed on the Platform;

any optional WoolTech Job Terms Checklist, job-specific confirmation or written terms accepted for a particular job, quote, payment, subscription or service.

Specific transaction terms expressly accepted for a transaction may prevail for that transaction to the extent stated. Companion policies and schedules apply together with these Terms, but these Terms prevail to the extent of any inconsistency unless WoolTech expressly states otherwise in the applicable document, product screen or written agreement.

3. Current Product Stage

WoolTech is being developed as a practical marketplace and job-operations platform for the Australian wool industry. Current and planned features may include:

farm profiles;

job posts with sheep counts, roles, dates, facilities and notes;

contractor profiles and team records;

marketplace job browsing for contractors;

contractor quotes and proposed crews;

worker profiles;

contractor team invites;

assigned job details for workers;

work reports submitted by workers;

job-record review and finalisation by contractors;

farmer review of job records;

payment records and, if enabled, payment-processing or payment-distribution features.

The features available including account, job-posting, quote, crew-management, work-reporting, record, notification, payment, calculation, export and marketplace features, may be shown on the Platform and may change over time. WoolTech may add, remove, limit, improve or vary features without needing to update these Terms for every operational or product change, provided any material legal or commercial change is handled as required by these Terms and applicable law.

Part B — Accounts and Eligibility

4. Account Registration

You may need an account to use parts of the Platform. You agree to provide accurate, current and complete information when creating and using your account.

We may approve, reject, suspend, restrict or close an account where we reasonably consider this necessary for legal, safety, fraud-prevention, operational, marketplace-quality, payment, security or business reasons.

5. Account Types

WoolTech may offer different account types, including:

5.1 Farmer Accounts

A Farmer account is for a farmer, property owner, farm manager or authorised farm representative who wants to post shearing-related jobs, receive contractor quotes, share job details after acceptance, and review job records.

5.2 Contractor Accounts

A Contractor account is for a shearing contractor, contracting business, crew organiser or authorised representative who wants to browse farmer job posts, submit quotes, propose crews, invite workers to a team, organise jobs and finalise work records.

5.3 Worker Accounts

A Worker account is for a shearer, handler, wool classer, presser or other worker who may join contractor teams, view assigned jobs, accept or decline invitations, perform work and submit work reports.

5.4 Multi-role Accounts

Where supported, one person or business may use more than one role. You must not create multiple accounts to avoid obligations, hide history, manipulate reviews, bypass restrictions, avoid fees or mislead other users.

6. Business Use and Eligibility

The Platform is intended for business, agricultural and industry use, not personal household use.

By using the Platform, you represent that:

you are at least 18 years old, or the age required to form a binding contract in your jurisdiction;

you can lawfully enter contracts;

you will use the Platform for lawful business or industry purposes;

you will comply with all laws that apply to your use of the Platform and to any job, quote, work, payment, employment, contracting, farm, safety, tax, insurance or record-keeping obligation;

if acting for a business or organisation, you have authority to do so.

WoolTech users must be 18 years or older. WoolTech does not permit minors, including apprentices or junior shed hands under 18, to create accounts, accept work, submit quotes, join crews or otherwise use the Platform.

7. Account Information, Profiles and Verification

You are responsible for the accuracy of information in your profile, job posts, quotes, crew information, worker reports, payment details, tax details and business information.

WoolTech may ask you to verify information, including identity, business authority, ABN/ACN, farm details, contractor details, worker details, payment information, email, phone number, location or work eligibility. WoolTech is a tool and marketplace platform; unless WoolTech clearly states otherwise for a particular feature or job, users remain responsible for maintaining their own insurance, licences, registrations, safety processes and compliance arrangements as they normally would for their business or work.

Unless WoolTech expressly states otherwise, verification checks are limited platform checks only. WoolTech does not guarantee that a verified user is suitable, qualified, insured, safe, solvent, lawful, experienced, available or reliable.

8. Account Security and Permissions

You must keep login details secure and must not share your password. You are responsible for activity under your account.

Where the Platform allows team members, administrators or authorised users, the account owner is responsible for permissions granted and for actions taken by those users.

You must promptly notify WoolTech if you suspect unauthorised access, account misuse, payment misuse, false information or compromised credentials.

Part C — Purpose and Role of WoolTech

9. What WoolTech Does

WoolTech provides a platform intended to help farmers, contractors and workers manage shearing jobs and related work records. The Platform may help users:

post jobs;

find and review job opportunities;

submit and compare quotes;

form job arrangements;

organise crews;

share job details after acceptance;

submit and review work reports;

keep operational job records;

calculate worker payment amounts, contractor totals, job totals and payment-related records where calculation features are enabled;

export job, report, payment and calculation data for use in general accounting, payroll or business software where export features are enabled;

communicate about jobs;

where enabled, process or record payments.

10. What WoolTech Does Not Do

Unless expressly agreed in a separate written agreement signed by WoolTech, WoolTech does not:

perform shearing, handling, classing, pressing, transport, farm, contractor or worker services;

employ workers;

supply labour as a labour-hire provider;

supervise, control or direct the performance of shearing work;

inspect farms, sheds, livestock, roads, tools, accommodation or facilities;

guarantee the accuracy of job posts, quotes, sheep counts, rates, reports, reviews or user content;

guarantee any farmer, contractor or worker will perform, pay, attend, complete, comply or behave appropriately;

provide legal, tax, employment, payroll, award, WHS, animal welfare, biosecurity, insurance, accounting or industrial-relations advice, even where the Platform provides calculation, report or export tools;

guarantee that any calculation, rate, deduction, allowance, superannuation amount, tax-related setting, export file, job outcome, payment, worker entitlement or business result is legally complete or correct for a user's circumstances.

11. User-to-User Relationships

Jobs and work arrangements are made directly between users. WoolTech is not a party to the contract between a farmer and contractor, contractor and worker, farmer and worker, or other users, unless WoolTech expressly states otherwise in a separate signed agreement.

Users are responsible for deciding whether to work with each other, negotiating terms, checking suitability, confirming authority, managing risk and performing obligations.

12. No Employment, Agency or Partnership with WoolTech

Use of the Platform, including any worker payment calculation, job-record, payment-record or export feature, does not create an employment, contractor, agency, partnership, joint venture, franchise, labour-hire, payroll, accounting or fiduciary relationship between WoolTech and any farmer, contractor or worker.

Contractors are responsible for the workers or team members they engage, invite, roster, supervise, pay or manage, including classification, wages, piece rates, awards, allowances, superannuation, tax, workers compensation, safety, insurance and other legal obligations. Where WoolTech provides calculation or export tools, contractors remain responsible for selecting the correct inputs, reviewing the outputs and obtaining professional advice where needed.

Workers are not employees of WoolTech. Farmers and contractors are not agents of WoolTech.

13. User Responsibility for Compliance

Each user is responsible for complying with laws and industry requirements that apply to them, including those relating to:

contracts;

employment and independent contracting;

labour-hire licensing;

modern awards, piece rates, minimum entitlements and record keeping;

tax, GST, PAYG, superannuation and payroll tax;

workers compensation and insurance;

workplace health and safety;

farm safety and amenities;

biosecurity;

animal welfare;

privacy and confidentiality;

consumer law and fair trading;

anti-discrimination and harassment;

payment processing and financial obligations.

Part D — Marketplace, Jobs, Quotes and Service Contracts

14. Job Posts

A farmer may post a job with details such as farm or public location, suburb/state, sheep count, sheep type, expected dates, roles required, facilities, notes, special conditions and job summary.

Unless WoolTech states otherwise, a job post is an invitation for contractors to consider and quote. It is not a binding offer by the farmer and does not guarantee work will proceed.

Farmers must ensure job posts are accurate, lawful, current and not misleading. Farmers must promptly update or withdraw a job if material details change.

15. Public and Private Job Details

WoolTech separates general account/profile information, public job information and private job information.

A farmer account or farm profile may show general information that helps contractors understand the type of farm or business they may be dealing with. This may include the farm or business name, region, suburb, state, general farm description, facilities, wool/sheep-related information, preferred work types and public profile notes.

Before a farmer accepts a quote, contractors will only see the public job details needed to decide whether to quote. This may include the suburb or general location, state, job type, sheep numbers or estimates, proposed dates, facilities, work requirements, special conditions and other non-sensitive job information.

Once the farmer accepts a quote and the job is agreed through the Platform, WoolTech will allow the farmer to share, or may make available to the accepted contractor, the private details needed to carry out the job. This may include the exact farm address, access instructions, arrival notes, relevant contact details and other job-specific information.

Private job details must only be used for the agreed job. Contractors must only share those details with authorised crew members or workers who need them for that job. Users must not publish, scrape, sell, copy or distribute private farm, contractor or worker details outside what is reasonably necessary for the agreed job, legal compliance, record keeping or with permission.

16. Contractor Quotes

Contractors may submit quotes for farmer jobs. A quote may include price, rate, proposed crew, timing, conditions, assumptions, exclusions or notes.

Unless WoolTech states otherwise, a quote is not accepted until the farmer accepts it through the Platform. Once accepted, the farmer and contractor are responsible for the resulting job arrangement.

Contractors must ensure quotes are accurate, lawful, current and not misleading. Contractors must not quote work they do not reasonably expect to be able to perform.

17. Acceptance of Quotes

When a farmer accepts a contractor quote, the farmer and contractor form a direct contract for the job on the accepted terms, plus any additional terms agreed between them.

WoolTech may record the farmer’s acceptance of a contractor quote, share private job details through the Platform, notify relevant users, create assigned job records and allow the contractor to organise crew members through the Platform. By accepting or managing a job through WoolTech, users agree that job acceptance, private job details, assigned job records, crew organisation and related job communications must be handled through the Platform, unless WoolTech expressly allows another process in writing.

WoolTech does not guarantee that acceptance creates a legally complete or enforceable contract for every circumstance. Users should seek their own legal advice where needed.

18. Worker Team Invites and Assigned Jobs

Contractors may invite workers to join a team or accept assigned jobs. Workers may accept or decline invitations where the Platform allows.

A worker's acceptance of a team invite or assigned job may create obligations between the worker and contractor, or another party, depending on the arrangement outside the Platform. WoolTech is not responsible for deciding or documenting the worker's legal status.

Contractors must ensure they have all rights, authority, insurance and compliance arrangements required before inviting, assigning, managing or paying workers.

19. Optional Job Terms Checklist

WoolTech may provide an optional practical job terms checklist to help farmers, contractors and workers confirm key job details in plain language before work starts. The checklist is not mandatory, is not intended to require a formal contract for every job and is not legal advice.

Users may still agree their own written terms where appropriate, provided those terms do not conflict with WoolTech's rights, these Terms, applicable companion documents, Platform rules or applicable law.

20. Variations and Changed Conditions

Shearing jobs can change because of weather, livestock readiness, sheep numbers, shed condition, road access, biosecurity, animal welfare, worker availability, contractor availability, machinery or other farm conditions.

Users are responsible for agreeing how changes affect timing, price, rates, crew size, reports, cancellation, travel, accommodation, call-out fees and payment.

Where the Platform supports variations, users should record material changes through the Platform. Where it does not, users should keep their own written records.

21. Completion and Finalisation

Workers may submit work reports. Contractors may review, adjust or finalise reports. Farmers may review job records where the Platform supports this.

Unless WoolTech expressly states otherwise:

worker reports are user-submitted operational records;

contractor finalisation is a contractor action, not WoolTech verification;

farmer review is a farmer action, not WoolTech verification;

WoolTech does not independently verify all information entered by users into the Platform. Users are responsible for checking the accuracy and completeness of job reports, sheep counts, rates, payment amounts and job records before relying on them. WoolTech does not guarantee that user-submitted information is accurate, complete or legally sufficient.

Part E — Worker Reports and Job Records

22. Worker Reports

A worker report may include information such as attendance, role, work performed, sheep count, time, notes, issues, completion status or other job data.

Workers must submit honest, accurate and timely reports. Workers must not submit false reports, inflate counts, misrepresent work, hide issues or submit reports for another person unless expressly authorised.

23. Review of Reports

Contractors are responsible for reviewing worker reports and resolving issues with workers and farmers. Farmers are responsible for reviewing job records and raising concerns within any applicable review window.

WoolTech may provide tools to help compare, approve, adjust, dispute, finalise or export reports, but WoolTech does not independently verify reports unless expressly agreed.

24. Records Are Operational Records Only

WoolTech records are intended to help users manage jobs and, where features are enabled, support payment calculations, job totals, worker amount calculations, payment-status records and exports to general accounting, payroll or business software. They are not legal, payroll, tax, accounting, employment, WHS, animal welfare, biosecurity or industrial-relations advice.

Users remain responsible for checking Platform records, calculation outputs and export files before relying on them and for keeping any legally required records outside or alongside the Platform.

25. Editing and Audit Trails

WoolTech may allow certain records to be edited, adjusted, corrected, finalised or locked. Users must not make unauthorised, misleading or fraudulent changes.

WoolTech may keep logs, timestamps, metadata and audit trails for operational, legal, security, payment and dispute purposes.

Part F — Payments, Fees and Taxes

26. Payment Feature Status

Payment features are intended to support both on-platform and off-platform payment workflows. Users may pay through the Platform using one or more payment providers or payment methods shown on the Platform from time to time. These may include Stripe, Stripe Connect, direct payment, invoice-based payment, bank transfer, BPAY or other supported methods. WoolTech may update, add or remove payment providers or payment methods without needing to update these Terms each time, provided the applicable method is disclosed through the Platform, Payment Terms, Fee Schedule or other written notice before it applies.

Where the Platform allows, users may also choose to arrange payment outside WoolTech, such as by direct bank transfer, BPAY, invoice payment or another method agreed between the farmer and contractor. In that case, the relevant users remain responsible for making, receiving and reconciling the payment outside the Platform.

Even where payment is made outside the Platform, users may use WoolTech to record that the job has been completed, that payment has been made or received, and any related job or payment status. WoolTech may rely on those user-entered records for job administration, notifications, reporting and dispute-management features, but WoolTech does not independently verify off-platform payments unless it expressly says so.

Where WoolTech has introduced, matched, facilitated, recorded or supported a job through the Platform, WoolTech may still charge applicable platform fees, service fees, commissions or other charges even if the farmer and contractor choose to settle the job payment outside the Platform, provided those fees are clearly displayed, notified or separately agreed before confirmation where required by the Fee Schedule or applicable law. WoolTech may calculate and collect those amounts using any method shown or agreed through the Platform, including by invoice, payment request, account statement, subscription charge, deduction from another platform payment, or another reasonable billing process. Users must not record or settle jobs outside the Platform for the purpose of avoiding WoolTech fees or payment rules.

27. Payment Provider

WoolTech may use one or more third-party payment providers to process payments, verify users, manage payment methods, collect fees, split payments, handle chargebacks, make payouts, issue payment requests or support payment records. The payment providers and supported methods may change over time and will be shown through the Platform, Payment Terms, Fee Schedule or other written notice where relevant.

Users may need to accept the relevant payment provider's terms and provide required information. Unless WoolTech expressly states otherwise in legally reviewed Payment Terms or a written agreement, WoolTech does not hold funds as trustee, provide escrow services, trust-account services, stakeholder account services, regulated payment facility services, banking services or stored value services, or control user funds beyond the role WoolTech or its payment provider performs in the disclosed payment workflow. WoolTech is not responsible for payment-provider outages, delays, holds, verification decisions, account closures or payment reversals except to the extent required by law.

28. Farmer Payments

Where payment features are available, farmers may be required to pay amounts for accepted jobs, deposits, milestones, finalised work, subscriptions, fees or other charges through the Platform or another payment method shown or agreed through the Platform.

Farmers authorise WoolTech and its payment provider to charge the selected payment method for amounts due, including WoolTech fees, payment-processing fees, GST and other applicable amounts where shown.

29. Contractor and Worker Payouts

Where payout or payment-distribution features are available, contractors and/or workers may receive payments through the Platform or a supported payment provider according to the job terms, quote, worker reports, finalisation process, payout instructions, user approvals and payment-provider rules.

WoolTech does not guarantee that funds will be available, released or received by any particular time unless expressly stated in legally reviewed payment terms.

30. Worker Payment Calculations and Payment Distribution

Where calculation features are enabled, WoolTech may use job details, quotes, worker roles, work reports, rates, allowances, deductions, superannuation settings, tax-related settings and other user-entered or Platform-held information to calculate worker payment amounts, contractor totals, job totals and payment-related records. WoolTech may also allow users to review, adjust, approve, finalise, record or export those calculations for use in general accounting, payroll or business software.

Contractors and other responsible users must ensure the correct worker status, award or agreement settings, rate, allowance, deduction, tax, superannuation, insurance, workers compensation and labour-hire inputs are selected and kept up to date. WoolTech does not guarantee that calculation outputs or export files are legally complete, correct for every user, or suitable for a particular accounting, payroll, tax or employment purpose.

If WoolTech enables payment distribution or payout features, the applicable Platform workflow or Payment Terms may specify who authorises the distribution, how each worker's amount is calculated, whether amounts can be reviewed or adjusted, whether a farmer review period affects the next payment step, when amounts become final, and what happens on errors, disputes, chargebacks, reversals, refunds, overpayments or underpayments. Any current intendedreview period or farmer review process, or any other review period, controls payment release only to the extent shown in the Platform workflow, Payment Terms or job-specific written terms.

31. WoolTech Fees

WoolTech may charge fees for access to, use of, or transactions arranged, introduced, facilitated, recorded, calculated, processed or supported through the Platform. These may include subscription fees, service fees, job-related fees, commission-based fees, payment-processing fees, invoice-based fees, premium feature fees, record-keeping or administration fees, or other charges shown on the website, in the Platform, in the Fee Schedule, in Payment Terms, by email notice or in another written agreement.

Fees must be displayed or otherwise disclosed before they are charged, where required by law. The amount, timing and method of fees may depend on the account type, job type, payment method, off-platform payment recording, subscription, promotion, invoice arrangement, payment-provider costs, or other commercial settings shown through the Platform, website, Fee Schedule, Payment Terms or written agreement.

WoolTech may introduce, vary or increase its fees from time to time. WoolTech will communicate material fee changes by updating the website, Platform, Fee Schedule or written terms and, where appropriate, by giving affected users advance email notice with a reasonable notice period before the change takes effect. Users must not use off-platform arrangements or inaccurate records to avoid WoolTech fees or payment rules.

32. Taxes, GST and Withholding

Users are responsible for their own taxes and compliance, including GST, PAYG withholding, superannuation, payroll tax, income tax, contractor withholding and tax invoices, unless WoolTech expressly agrees otherwise in legally reviewed terms.

WoolTech may provide tools to record, calculate or export tax-related, superannuation-related, payment-related or accounting-related information, but users remain responsible for checking the applicable settings, calculations, records and exports before relying on them.

WoolTech may collect GST on WoolTech fees where required. WoolTech does not provide tax advice.

33. Non-Payment, Chargebacks and Reversals

Users must not misuse payment methods, initiate improper chargebacks, avoid payment, submit false reports, manipulate job records, mislead other users about payment status or use the Platform to avoid lawful payment obligations.

If a payment is reversed, charged back, disputed, cancelled, withheld or found to be fraudulent, WoolTech may suspend payment features, recover amounts, offset amounts where lawful, restrict accounts, require additional verification or cooperate with payment providers and authorities.

34. Refunds, Returns and Cancellations

WoolTech has a separate Refund and Returns Policy that forms part of these Terms and should be read together with these Terms, the Payment Terms, Fee Schedule, Job and Quote Terms, Worker Report Terms and any written terms that apply to a particular job, subscription, platform fee, service, product, promotion or transaction.

Refunds, returns, cancellations, postponements, deposits, call-out fees, travel, accommodation, minimum payments, no-show consequences, disputed work, overpayments, underpayments and other cancellation-related amounts are generally matters to be agreed between the relevant farmer, contractor and/or worker as part of the job, quote or work arrangement. WoolTech may provide tools to record, communicate, support or administer those matters through the Platform, but WoolTech does not decide whether a user is entitled to a refund, return, cancellation payment, compensation, damages or other remedy unless a specific WoolTech policy, Platform feature or written agreement expressly says so. Any WoolTech fees, credits, waivers or reversals will be handled in accordance with the applicable WoolTech Refund and Returns Policy, Fee Schedule, Payment Terms, feature terms and applicable law.

Nothing in these Terms or the Refund and Returns Policy excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.

Part G — Rural Work, Safety and Farm Conditions

35. Physical Work Risk

Shearing and wool-industry work is physical, location-based and affected by farm conditions, livestock, weather, roads, equipment, amenities, team behaviour and other hazards. Users accept that these risks are not controlled by WoolTech.

36. Farmer Responsibilities

Farmers are responsible for:

accurate job details;

safe and lawful farm access;

suitable shearing shed and worksite conditions;

livestock readiness and animal welfare obligations;

disclosing hazards and special conditions;

providing accurate facilities and amenities information;

biosecurity requirements;

access instructions after quote acceptance;

ensuring any person acting for the farm has authority;

meeting payment and tax obligations;

maintaining required insurance.

37. Contractor Responsibilities

Contractors are responsible for:

assessing jobs before quoting;

selecting, inviting, supervising and managing crews;

ensuring workers are competent and legally able to perform assigned work;

complying with employment, contractor, labour-hire, award, superannuation, tax, insurance and WHS obligations;

communicating job details and safety information to workers;

reviewing worker reports;

finalising accurate job records;

paying workers where the contractor is responsible for payment;

maintaining required insurance.

38. Worker Responsibilities

Workers are responsible for:

providing accurate profile and work information;

accepting only work they are competent and legally able to perform;

complying with lawful and reasonable safety, biosecurity and site instructions;

using appropriate skill and care;

submitting truthful work reports;

raising safety concerns promptly;

maintaining any insurance, tools, licences, qualifications or registrations required for their circumstances.

39. Workplace Health and Safety

WoolTech does not inspect or certify farms, sheds, livestock, roads, vehicles, tools, equipment, accommodation, amenities or work practices.

Farmers, contractors and workers must manage workplace health and safety obligations that apply to them. Nothing in these Terms excludes any non-excludable duty under WHS or similar law.

Users must not use the Platform to require, encourage or conceal unsafe work. Workers and contractors should not be penalised through the Platform for refusing work they reasonably believe is unsafe.

40. Biosecurity and Animal Welfare

Farmers are responsible for communicating biosecurity rules and ensuring livestock-related obligations are met. Contractors and workers are responsible for following reasonable biosecurity instructions provided to them.

WoolTech does not inspect livestock, assess animal condition or guarantee animal welfare compliance.

41. Rural Disruptions and Force Majeure

Jobs may be disrupted by weather, fire, flood, road closures, illness, injury, machinery failure, livestock condition, disease controls, biosecurity restrictions, transport issues, fuel shortages, accommodation issues, communication failures or other events beyond a party's reasonable control.

Users are responsible for agreeing how such events affect timing, payment, cancellation, travel, accommodation and rescheduling. WoolTech may provide tools to record changes but is not responsible for the underlying disruption.

Part H — User Content, Intellectual Property and Confidentiality

42. User Content

User Content includes job posts, farm profiles, contractor profiles, worker profiles, quotes, messages, work reports, reviews, photos, documents, payment records, comments, notes, uploaded files and any other content submitted through the Platform.

You are responsible for your User Content and must ensure you have the right to submit it.

43. Licence to WoolTech

You grant WoolTech a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, process, transmit, modify for formatting, analyse and use User Content as reasonably necessary to operate, secure, support, improve and provide the Platform.

This licence includes use for backups, search, notifications, reporting, fraud prevention, safety, dispute handling, legal compliance, analytics and product improvement.

WoolTech will not use User Content to train AI models unless this is clearly disclosed to users through the Platform, the Privacy Policy or other applicable terms. These Terms do not give WoolTech a broad AI-training licence over User Content. WoolTech may still use User Content as reasonably needed to operate, support, secure, test, maintain and improve the Platform and Services in accordance with the Privacy Policy and applicable law.

44. WoolTech Intellectual Property

WoolTech owns or licenses the Platform, software, design, branding, workflows, databases, templates, documentation, trademarks, logos and other intellectual property in the Services.

You must not copy, reverse engineer, scrape, resell, misuse, remove notices from, or create competing services using protected elements of the Platform except as permitted by law.

45. Job Records and Work Product

Operational job records and reports may contain information contributed by multiple users. Users retain rights they have in their own content, subject to WoolTech's licence to operate the Platform and any rights granted to other users for the relevant job.

Unless users agree otherwise, WoolTech does not claim ownership of farm business information, contractor business information, worker work history, or job-specific user content.

46. Confidential Information

Private information shared through the Platform for a job is not public information. It will only be made available to the parties involved in that job, and only when reasonably needed to arrange, quote, agree, perform, manage, record, or complete the job, or for another related lawful purpose.

This may include:

exact farm address;

gate codes and access instructions;

arrival notes;

phone numbers and contact details;

pricing and quotes;

worker rates;

crew details;

farm operations information;

job records and reports;

commercially sensitive notes.

Users must not copy, publish, share, misuse, or use this information for any unrelated purpose. This includes using the information to market unrelated services, approach workers or customers outside the Platform, bypass WoolTech fees, or contact another party about unrelated work unless that party has clearly agreed.

Users must take reasonable steps to keep this information secure and confidential.

Part I — Privacy, Data and Security

47. Privacy Policy

WoolTech's handling of personal information is governed by the WoolTech Privacy Policy, as updated from time to time. The Privacy Policy explains how WoolTech collects, uses, holds and discloses personal information in connection with the Platform and Services.

Without limiting the Privacy Policy, users acknowledge that WoolTech may collect, use, disclose and retain personal information where reasonably needed to operate, protect, improve and support the Platform, including to:

create, manage and secure accounts;

provide job posting, quote, crew management, work reporting, record keeping, notification, payment and marketplace features;

connect farmers, contractors and workers in relation to jobs, quotes, crews, work reports and related records;

display and share relevant job, quote, crew, work report, business and contact information with authorised users;

process billing, invoices, payments, payouts, reconciliation and transaction records where payment features are enabled;

send service messages, reminders, updates and administrative communications;

provide support, respond to enquiries and manage complaints;

monitor, test, analyse, improve and develop the Platform;

prevent, detect and respond to fraud, misuse, security incidents, unlawful activity, technical issues or breaches of these Terms; and

comply with legal obligations, manage disputes, keep records and enforce WoolTech's rights.

Personal information may include account information, business and contact details, farm and job information, contractor and worker profiles, exact addresses and access notes, quotes and pricing, crew details, work reports, messages, notifications, payment-related information, verification information, support information, technical usage data, cookies and related records.

If a user provides personal information about another person, the user must only do so where they have authority to provide it, the information is accurate and up to date, and it is reasonable for the information to be used for the relevant Platform, job, crew, payment, reporting or legal purpose.

48. Sensitive Farm and Location Data

Exact farm addresses, access instructions, gate codes, arrival notes, contact details, livestock information and job dates can create security and privacy risks. Users must handle this information carefully.

WoolTech may restrict access to private job information, log access, remove information, suspend accounts or take other steps to protect users and properties.

49. Data Retention

WoolTech may retain account, job, report, payment, security, audit and support records for as long as reasonably needed for business, legal, tax, compliance, dispute, safety, fraud-prevention and backup purposes.

Data deletion may be limited where records are needed for legal compliance, dispute handling, payment records, fraud prevention, safety, audit trails or legitimate business purposes.

50. Security

WoolTech will use reasonable administrative, technical and organisational measures to protect the Platform. No system is guaranteed secure or uninterrupted.

Users must not test, attack, bypass, scrape, overload, reverse engineer, compromise or misuse the Platform.

Part J — Acceptable Use and Marketplace Conduct

51. General Conduct

You must use the Platform lawfully, honestly and respectfully. You must not:

submit false, misleading, fraudulent or incomplete information;

post fake jobs or fake quotes;

misrepresent sheep counts, work performed, rates, payment status, insurance, availability, identity, qualifications or authority;

harass, threaten, abuse, discriminate against, intimidate or exploit any user;

request or perform unsafe or unlawful work;

misuse farm access details;

scrape, copy or harvest user data;

spam users;

manipulate reports, reviews, ratings or marketplace visibility;

interfere with Platform security;

use the Platform for unlawful, harmful or deceptive activity.

52. Anti-Discrimination and Respectful Conduct

Users must comply with anti-discrimination, harassment, bullying and equal-opportunity laws. WoolTech may remove content, restrict accounts or take other action where conduct harms users or marketplace integrity.

53. Reviews and Feedback

If WoolTech enables reviews, ratings or feedback, users must provide honest feedback based on genuine experiences. Users must not submit fake, defamatory, retaliatory, misleading, discriminatory or abusive feedback.

WoolTech may remove, hide, moderate or decline to publish feedback where it considers this necessary for legal, safety, fairness, marketplace-integrity or business reasons.

54. Communications and Contact Details

WoolTech may allow users to communicate through the Platform. Users must not misuse communications, contact users for unrelated purposes, spam users or share private information outside the job context.

55. Circumvention and Off-Platform Arrangements

WoolTech is designed to help farmers, contractors and workers manage shearing jobs more accurately and efficiently, including quotes, job details, crew arrangements, work reports, calculations, records, payment status and who is owed what.

Users must not use the Platform to obtain introductions, job opportunities, private job information, contact details, quotes, crew details or work records for the purpose of avoiding WoolTech's clearly disclosed fees, payment rules or platform processes.

Where WoolTech introduces, matches, facilitates, records or supports a job, the parties must keep the job properly recorded through the Platform, including any accepted quote, agreed job details, crew arrangements, work reports, completion records, payment status and other information reasonably required by WoolTech.

Unless WoolTech allows otherwise in writing or through the Platform, users must not move a WoolTech-sourced job or arrangement outside the Platform in a way that prevents WoolTech from calculating, charging or collecting applicable platform fees, service fees, commissions, subscriptions or other charges.

If WoolTech permits payment to be made outside the Platform, such as by bank transfer, invoice, BPAY or another agreed method, that does not remove the obligation to keep the job properly recorded through the Platform or to pay any applicable WoolTech fees.

Users must not:

encourage another user to bypass WoolTech fees or payment rules;

hide, misreport or understate a WoolTech-sourced job, quote, payment, crew arrangement or work record;

use private job information or contact details obtained through WoolTech to move the same job outside the Platform;

create duplicate or replacement arrangements outside the Platform to avoid WoolTech charges;

interfere with WoolTech's ability to calculate, invoice, charge or collect applicable fees.

This section does not prevent users from having genuine pre-existing relationships or from working together outside WoolTech where the work was not introduced, facilitated, recorded or supported by WoolTech. However, users must not use WoolTech as a lead source, quoting tool, job-record system or work-calculation system and then avoid WoolTech's disclosed commercial terms.

WoolTech may investigate suspected circumvention and may suspend or restrict accounts, withhold platform features, invoice unpaid fees, recover amounts owed, remove access to private job information, or take other lawful action.

Part K — Disputes Between Users

56. User-to-User Disputes

Disputes between farmers, contractors and workers are the responsibility of those users. WoolTech may provide tools, records or support to help users resolve disputes, but WoolTech is not required to decide disputes or guarantee outcomes.

57. Platform Dispute Tools

Where WoolTech provides dispute tools, users must follow the process shown on the Platform. This may include deadlines to raise issues, submit evidence, respond to another user, pause payment, adjust reports or finalise records.

WoolTech may decline to become involved, may limit assistance, or may require users to resolve disputes independently through negotiation, mediation, tribunal, court or another lawful process.

58. Payment Disputes

Where payment features are enabled, payment disputes are handled under the WoolTech Payment Terms, these Terms, any payment-provider rules, and any Platform process that applies to the relevant job or transaction.

Users must promptly review jobs, quotes, work reports, invoices, payment records and payment confirmations. If a user believes an amount is incorrect, unauthorised, incomplete, duplicated or disputed, the user must raise the issue through the relevant WoolTech support or Platform channel within any timeframe shown on the Platform, or otherwise as soon as reasonably possible.

WoolTech may request supporting information for a payment dispute, including job details, quote records, work reports, messages, approvals, payment confirmations, invoices, receipts, bank or payment-provider records, and any other information reasonably relevant to the dispute. Users must provide accurate information and must not submit false or misleading payment-dispute material.

WoolTech may provide tools or support to help users identify, communicate about, document or resolve payment disputes, including disputes about calculation inputs, work reports, rates, allowances, deductions, payment records or export data. Unless WoolTech expressly agrees otherwise or applicable law requires otherwise, WoolTech is not required to decide the legal merits of a dispute between users, determine employment or contractor obligations, decide award or entitlement issues, or guarantee that a disputed amount will be paid, refunded or recovered.

While a dispute, suspected misuse, fraud concern, chargeback, failed payment, compliance issue or payment-provider review is being investigated, WoolTech may limit, suspend or restrict access to payment features, update Platform records, delay or cancel payment-related actions, or take other reasonable steps permitted by these Terms, the Payment Terms, payment-provider rules or applicable law.

If a payment is charged back, reversed, dishonoured, declined, cancelled, recalled or otherwise fails, WoolTech may update Platform records, suspend or reverse related Platform actions, restrict payment features, recover amounts owed, or pass through payment-provider fees, bank fees, chargeback costs, collection costs or other losses where permitted by law and the Payment Terms.

Some disputes may need to be resolved directly between the relevant farmer, contractor, worker, bank, card issuer, payment provider, insurer, regulator, tribunal, court or other external body. WoolTech's dispute-support tools do not replace users' own legal, payment, employment, tax, insurance or contractual rights and obligations.

59. Release

To the maximum extent permitted by law, users release WoolTech from claims, demands, damages and losses arising from disputes with other users, including disputes about job quality, attendance, safety, payment, non-payment, rates, reports, cancellations, conduct, livestock, property damage, injury, employment status or tax obligations.

This release does not exclude rights that cannot be excluded under Australian Consumer Law or other applicable law.

Part L — Termination, Suspension and Enforcement

60. Suspension and Restrictions

WoolTech may suspend, restrict, disable or close accounts or features where it reasonably considers this necessary because of:

breach of these Terms;

suspected fraud;

payment risk;

safety risk;

privacy or confidentiality risk;

false information;

unlawful conduct;

marketplace abuse;

security concerns;

user complaints;

legal or regulatory requirements;

operational or business reasons.

61. Termination by Users

Users may stop using the Platform at any time. Account closure may be subject to completion of outstanding jobs, payments, disputes, compliance checks, legal retention requirements and technical limitations.

62. Effect of Closure

After account closure, WoolTech may retain records as described in these Terms and the Privacy Policy. Users may lose access to profiles, messages, job records, reports, payment records, reviews and other Platform content, subject to data export features and legal requirements.

63. Survival

Clauses that by their nature should continue after termination will survive, including clauses about payment obligations, taxes, records, confidentiality, intellectual property, privacy, acceptable use breaches, disclaimers, limitation of liability, release, indemnity, dispute resolution and general terms.

Part M — Disclaimers, Liability and Indemnity

64. Platform Provided As Is

To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis. WoolTech does not guarantee that the Platform will be uninterrupted, error-free, secure, complete, accurate or available at all times.

Early-access, pilot and beta features may change, break, be delayed, be removed or produce incomplete records.

65. No Guarantee of Users or Work

WoolTech provides platform tools to help users connect, organise, record and manage jobs. WoolTech does not independently verify or guarantee every user, job, quote, record or work arrangement.

WoolTech does not guarantee:

farmer, contractor or worker identity, suitability, availability, skill, reliability or solvency;

job accuracy;

quote accuracy;

sheep counts;

shed, farm, road, accommodation or site safety;

contractor performance;

worker attendance or performance;

payment by users;

legal compliance by users;

insurance coverage by users;

review accuracy;

record accuracy.

Users are responsible for making their own checks, confirming job details, assessing safety and suitability, agreeing commercial terms, keeping appropriate records, and obtaining their own legal, tax, employment, insurance or safety advice where needed.

66. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded under the Australian Consumer Law or other applicable law.

Where WoolTech is permitted to limit liability for breach of a non-excludable guarantee, WoolTech's liability is limited, at WoolTech's option, to resupplying the relevant services or paying the cost of having the services resupplied.

67. Limitation of Liability

To the maximum extent permitted by law, WoolTech is not liable for indirect, consequential, special, punitive or exemplary loss, loss of profit, loss of revenue, loss of opportunity, loss of goodwill, business interruption, loss of data, livestock loss, wool loss, property damage, personal injury, non-payment, employment disputes, tax liabilities, insurance gaps or losses caused by user conduct.

Subject to non-excludable law, WoolTech's total aggregate liability to a user for all claims arising out of or in connection with the Platform is limited to the greater of the WoolTech fees paid by that user in the 12 months before the claim and AUD $1,000.

68. Indemnity

You indemnify WoolTech, its directors, officers, employees, contractors, agents and related bodies corporate against claims, losses, damages, liabilities, costs and expenses arising from:

your breach of these Terms;

your User Content;

your job posts, quotes, work reports, reviews or messages;

your performance or non-performance of a job;

your employment, contractor, tax, payroll, superannuation, insurance, WHS, animal welfare or biosecurity obligations;

your misuse of farm, contractor or worker information;

your unlawful, unsafe, fraudulent, negligent or wilful conduct;

disputes with other users;

claims that your content infringes rights or breaches confidentiality/privacy.

This indemnity applies only to the extent permitted by law and does not exclude rights or remedies that cannot legally be excluded.

Part N — Disputes with WoolTech

69. Informal Resolution

Before starting formal proceedings against WoolTech, you agree to contact WoolTech at [email protected] and give a reasonable opportunity to resolve the issue informally, unless urgent relief is needed or the law does not permit this requirement.

70. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. Subject to any non-excludable rights, applicable tribunal processes, or laws that apply regardless of this clause, each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth courts of Australia.

WoolTech is operated by Wool Technology PTY LTD (ACN 679 334 331, ABN 23 679 334 331), with its registered address at 20 Lookout Drive, Murray Bridge East SA 5253 AU. The preferred email address for legal notices and support is [email protected], unless WoolTech publishes or notifies a different contact process for a particular matter.

Part O — General Terms

71. Changes to Terms

WoolTech may update these Terms from time to time. Material changes will be notified by reasonable means, such as email, in-app notice or website notice. Continued use after the effective date means you accept the updated Terms.

72. Electronic Communications

You agree to receive notices and communications electronically, including by email, in-app message, SMS, push notification or Platform notice where supported.

73. Assignment

You may not assign your rights or obligations under these Terms without WoolTech's prior written consent. WoolTech may assign or transfer its rights and obligations as part of a merger, sale, restructure, financing, asset transfer or business transfer.

74. Severability

If a term is invalid or unenforceable, it will be read down or severed to the extent necessary, and the remaining terms will continue.

75. No Waiver

A failure or delay by WoolTech to enforce a term is not a waiver of that term.

76. Entire Agreement

These Terms and referenced policies form the agreement between you and WoolTech about the Platform, subject to any specific written agreement signed by WoolTech.

Schedule 1 — Companion Documents and Feature Terms

The following WoolTech documents support these Terms and apply where they are made available on the Platform, accepted by a user, or relevant to the applicable feature, job, account or transaction:

1. WoolTech Privacy Policy — explains how WoolTech collects, uses, holds and discloses personal information, including account information, farm and job information, contact details, work reports, payment-related information and support records.

2. WoolTech Cookie Policy — explains how WoolTech may use cookies and similar technologies for essential functions, authentication, security, preferences, analytics and third-party services.

3. WoolTech Payment Terms — applies where payment, payment-record, fee, payout, refund, chargeback, invoice, statement or payment-dispute features are enabled or used.

4. WoolTech Fee Schedule — sets out any WoolTech platform fees, service charges, subscriptions, commissions, payment-processing charges or other charges that are displayed, notified or separately agreed before they apply.

5. WoolTech Job and Quote Terms — applies to job posts, contractor quotes, quote acceptance, job changes, cancellations, job records and related job arrangements.

6. WoolTech Worker Report Terms — applies to worker-submitted reports, contractor review, farmer review, corrections, disputes, finalisation, retention and use of work reports.

7. WoolTech Marketplace Conduct Rules — sets out expected conduct for farmers, contractors, workers and other authorised users when using WoolTech marketplace, communication, job, quote, report, record and payment features.

8. WoolTech Acceptable Use Policy — sets out prohibited conduct, including misuse of the Platform, false information, harassment, unsafe conduct, scraping, privacy misuse, circumvention and security misuse.

9. WoolTech Beta and Early Access Terms — applies to MVP, pilot, invitation-only, beta, trial, test, preview, early-access or pre-release features.

10. WoolTech Optional Job Terms Checklist — provides optional practical guidance for farmers, contractors and workers who want to confirm key job details in plain language before work starts.

Specific transaction terms expressly accepted for a transaction may prevail for that transaction to the extent stated. Companion policies and schedules apply together with these Terms, but these Terms prevail to the extent of any inconsistency unless WoolTech expressly states otherwise in the applicable document, product screen or written agreement.

Schedule 2 — Job, Quote, Report and Payment Process Summary

This schedule summarises how WoolTech expects job, quote, report and payment workflows to operate. The Platform may not support every step at all times, and WoolTech may update workflows as features are developed.

1. Job Posting

A farmer may post a job with public job details, such as general location, sheep numbers or estimates, proposed dates, work requirements, facilities, special conditions and other information needed for contractors to decide whether to quote. Exact farm address, gate codes, access instructions and other private job details should not be public marketplace information.

2. Quote and Acceptance

A contractor may submit a quote. Unless the Platform or written terms say otherwise, a quote is accepted only when the farmer accepts it through the Platform. Once accepted, the farmer and contractor are responsible for the resulting job arrangement.

3. Release of Private Job Details

After a quote is accepted and the job is agreed through the Platform, WoolTech may allow the farmer to share, or may make available to the accepted contractor and authorised crew members, the private details reasonably needed to arrange, perform, manage, record or complete that job. Users must use those private details only for that job and related lawful purposes.

4. Crew and Worker Arrangements

Contractors are responsible for organising, inviting, managing, supervising and paying their workers or crew members unless the relevant users have made a different lawful arrangement. WoolTech may provide tools that help contractors record worker roles, rates, classifications, work reports, allowances, deductions, superannuation, tax-related settings and other payment inputs, and may use that information to calculate worker payment amounts, job totals and exportable records for use in general accounting, payroll or business software. Contractors remain responsible for selecting the correct worker status, award or agreement settings, tax and superannuation treatment, insurance position, workers compensation position, labour-hire obligations and payroll/accounting treatment. WoolTech does not provide legal, tax, payroll, employment, award, insurance or accounting advice unless it expressly agrees to do so in separate written terms.

5. Work Reports and Job Records

Workers may submit work reports. Contractors may review, correct, dispute, adjust or finalise work reports and job records where the Platform allows. Farmers may review completed job records where the Platform allows. Platform records are operational records only and do not replace users' own legal, tax, payroll, employment, safety, insurance or business records.

6. Completion and Farmer Review Window

Where WoolTech supports a completion workflow, the contractor may mark a job or job record as complete. The farmer may then have a review period shown on the Platform to review the job record, raise a dispute or confirm completion. That review period affects payment release or payment-status steps only where the applicable Platform workflow or Payment Terms say so.

7. Early Confirmation

If the farmer confirms completion before the review period ends, WoolTech may treat the job record as accepted for Platform workflow purposes and may allow the next step in the relevant workflow, such as payment processing, payout instruction, payment-status update, invoice generation or record finalisation, where those features are enabled.

8. No Response During Review Period

If the farmer does not dispute the job record within the applicable review period, WoolTech may treat the job record as accepted for Platform workflow purposes and may allow the next step in the relevant workflow. This does not prevent rights or remedies that cannot legally be excluded, and it does not make WoolTech responsible for deciding the legal merits of a user-to-user dispute.

9. Disputes

If a dispute is raised within the applicable review period, WoolTech may pause or limit payment-related workflow steps, request information, preserve records, provide dispute-support tools or require the users to resolve the dispute directly. WoolTech is not required to decide the dispute unless WoolTech expressly agrees or applicable law requires it.

10. Payment Calculations, Records and Handling

Payment and calculation features may support worker amount calculations, job totals, contractor totals, payment-provider workflows, off-platform payment records, payment-status tracking, invoicing, payout instructions, fee calculation, fee collection, export files for general accounting, payroll or business software, or other payment-related workflows. Supported payment providers, calculation settings, classifications, awards or agreement settings, rates, allowances, deductions, superannuation settings, tax-related settings and export formats may be shown on the Platform and may change over time. Users remain responsible for their own payment obligations, tax, GST, employment, payroll, award, superannuation, insurance and record-keeping obligations.

11. WoolTech Fees

Where WoolTech introduces, matches, facilitates, records or supports a job through the Platform, WoolTech may charge applicable platform fees, service fees, commissions, subscriptions, payment-processing fees, invoice-based fees or other charges that are clearly disclosed through the website, Platform, Fee Schedule, Payment Terms, email notice or another written agreement. Payment outside the Platform does not remove the obligation to keep a WoolTech-sourced job properly recorded through the Platform or to pay applicable WoolTech fees.

12. No Escrow Unless Expressly Stated

WoolTech does not provide escrow, trust-account, financial, payroll, employment or labour-hire services unless expressly stated in legally reviewed written terms. If WoolTech, a payment provider or another supported payment method holds, controls, splits, processes or releases funds, the applicable Payment Terms, payment-provider terms, Platform workflow and legal requirements will apply.
